Luxembourg International Consulting S.A.

Luxembourg International Consulting S.A. (“Interconsult”) was incorporated by a group of Luxembourg – based banks on May 6, 1992 as a “Société Anonyme” under the laws of the Grand ‑ Duchy of Luxembourg. The share capital of € 400,000 is held by:

• Credem International (Lux) S.A. – 33 1/3 % (member of the Credito Emiliano Group)
• Management – 51 2/3 %
• A Luxembourg private investor – 15 %

Interconsult is domiciled at 7, Val Sainte-Croix, L ‑ 1371 Luxembourg; its register number is RC Luxembourg B 40 312; the staff consists of 26 employees.

Interconsult received its business licence as Domiciliating Agent (“Domiciliataire de Sociétés”) on September 15, 2000 (no. 21/00). As such, Interconsult is in conformity with the law of April 5, 1993 regarding the financial sector, as modified on May 31, 1999.

The external auditor is Deloitte S.A.; Ernst & Young is the internal auditor.

Interconsult has subscribed to a Directors and Executive Managers and Professional Indemnity Insurance.

Interconsult is founding member of Luxembourg International Management Services Association asbl (“LIMSA”). LIMSA is a non – profit making association created by 15 leading domiciliary agents in Luxembourg; its objects are, among others, the promotion of the interests of domiciliary agents and the defence of the professional interests of the members of the Association.

Interconsult is a member of Luxembourg Private Equity & Venture Capital Association asbl (“LPEA”). LPEA is a non – profit making association created in 2010 to represent, promote and protect the interests of the Luxembourg private equity and venture capital industry.

Interconsult maintains a preferential relationship with its former participation Structured Finance Management (Luxembourg) S.A. for structured products, mainly securitization vehicles (SPVs).
